We comprehensively manage an IPO from the moment of first preparing the company for GPW, through to developing a prospectus and conducting proceedings before the Financial Supervision Commission, to the company’s debut on the GPW.

IPO

We lead the company through the entire IPO procedure – we prepare the required documents, including the information document in the full pen form. We conduct any due diligence required to draft the information document. We help to plan and implement corporate governance rules that correspond with the best market practices of listed companies. We represent clients during proceedings before the Financial Supervision Commission (KNF), the National Depository of Securities (KDPW) and the Warsaw Stock Exchange (GPW).

IPO

Transfer

We deal with every aspect of transferring the company from NewConnect to the GPW regulated market. We prepare all required documents and represent the company in proceedings before the appropriate authorities and entities.

Duty of information

We help the company comply with the duty of information which applies to public companies. We conduct appropriate trainings for members of the company’s constitutive organs and management personnel. We also prepare and implement any necessary documentation.

Restructurings

We plan and implement corporate structures according to the client’s needs and advise on selecting target capital group structures to ensure maximum operational effectiveness. We can include Polish entities and/or entities from any other jurisdictions in such structures. We help to plan and implement appropriate corporate governance rules.

Advised Ten Square Games S.A. (a company operating in the mobile games sector) on its IPO on the regulated market of the Warsaw Stock Exchange. We represented the company before the Financial Supervision Commission (KNF), the National Depository of Securities (KDPW) and the Warsaw Stock Exchange (GPW). We implemented corporate governance rules corresponding to the best practices of public companies, and advise on complying with the company’s duty of information;

Advised Cloud Technologies S.A. on the acquisition of its own shares, prepared documentation and advised on complying with the company’s duty of information;

Advised on a bonds issue by a leading Polish construction group. This included preparing all necessary documents, negotiating with financial institutions, representing the client in proceedings before the KDPW and GPW. The bonds were introduced to trading on the Catalyst market,

Advised on a bonds issue by a group within the furniture sector (a company listed on the GPW). This included preparing all necessary documents (including collateral documents), representing the client in proceedings before the KDPW and GPW. The bonds were introduced to trading on the Catalyst market,

Negotiated documentation on financing provided by a bank to an energy group in order to fund a bonds issue. This included investment expenses and developing comprehensive financing syndication. The project value was PLN 7.3 billion.
