SSW advised on Zabka’s public offering
SSW advised a group of minority shareholders of Zabka Group (current and former executives) thoroughout all phases of the group’s IPO process, including:
- cross-border reorganisation of the group, including multiple share conversions, structuring and implementation of the long-term, share-based incentive scheme;
- intragroup refinancing including cross-border upstream loans and settlement of preferred loans with the IPO proceeds;
- complex advice on capital markets aspects, including, but not limited to, the underwriting agreement, orderly marketing arrangements, post-IPO transfer restrictions related to outstanding stakes, and multi-jurisdictional regulatory issues;
- multi-jurisdictional tax law aspects applicable to different categories of the minority shareholders.
Partners from SSW were lead counsels for the minority shareholders, coordinating streams related to their respective practices for all jurisdictions applicable to the project. SSW has been advising Zabka Group and the minority shareholders on the transaction-related corporate matters since 2017.
The project was led by Grzegorz Koguciuk, with specific expertise provided by Monika Szczotkowska on capital markets law, Piotr Grabarczyk on banking and finance matters, and Tomasz Wickel on tax issues. Additionally, Mariusz Slowikowski and his team at SSW Advisory contributed to the project.
