Grzegorz Koguciuk

Grzegorz is a Corporate and M&A Partner at SSW. His practice focuses on domestic and cross-border M&A, private equity investments and corporate reorganisations. He advises private equity and investment funds, strategic investors, founders, management teams and family-owned businesses on both buy-side and sell-side transactions.

He supports clients throughout the transaction lifecycle, from structuring and legal due diligence to negotiating transaction documents, signing, closing and post-closing integration. He regularly leads negotiations in complex, multi-party transactions and is recognised for his commercial, pragmatic and solution-oriented approach.

Grzegorz has significant experience in private equity transactions involving Polish target companies, including investments structured through international holding platforms. He regularly advises foreign investors on acquisitions in Poland and represents founders and shareholders in exits, growth investments and succession-driven transactions. He also has extensive experience in large-scale corporate reorganisations, carve-outs and group restructurings, often as part of broader M&A and investment processes.

Much of his work has an international dimension. He regularly coordinates cross-border transactions involving multiple jurisdictions and works closely with foreign counsel and financial and tax advisers to deliver integrated legal support. His practice is underpinned by extensive expertise in corporate law, including corporate governance, shareholder arrangements, capital restructurings, and the duties and liabilities of management and supervisory boards.
