Masterchem joins Logoplaste Group | SSW acted as the legal advisor
Deal done – Masterchem, a leading Polish manufacturer of PET containers, is a member of Logoplaste Group – a global value-added service provider and the producer of rigid plastic containers.
Following fulfilment of all conditions precedent, including the consent granted by UOKiK (Polish antitrust authority), Logoplaste Group acquires majority stake of shares in Masterchem. The new company will be known as Masterchem Logoplaste. It will be led by CEO, Piotr Wasilewski – a member of Masterchem’s founding family, who will retain a significant minority stake in the company and will remain actively involved in running the business. Both Logoplaste and Masterchem believe that the newly formed partnership will increase the group’s innovation, flexibility and agility – which will ultimately benefit its clients.
The Masterchem / Logoplaste transaction was particularly complexed as it involved acquisition of 2 enterprises as well as a re-investment made by the current owners. The leading partner for the project was Sebastian Ponikowski (partner), who was supported by Jakub Koziński (senior associate), Marta Szymczyk (associate) and Katarzyna Rzewuska (junior associate) from M&A team, Tomasz Wickel (partner) from Tax team and Jakub Jędrzejewski (partner) from Antitrust team.
This is the third M&A transaction finalised in 2020 by SSW’s M&A team led by Sebastian Ponikowski. SSW lawyers advised on the sale of 100% of shares of Kospel S.A. to Viessmann group and the acquisition of a majority stake of shares in Damo Ubezpieczenia sp. z o.o. by Unilink Group.
