SSW’s lawyers and tax advisors advised Cotta Group on a cross-border transaction with Steinhoff International Holdings

Cotta Group is based in Liechtenstein. It designs, manufactures, and supplies furniture for clients in France, Switzerland, Italy, Austria, and throughout Eastern Europe. It offers upholstered furniture, leather sofas, household furniture, tables, chairs and furniture for living and dining areas. The company has production plants in Poland and Romania.

Steinhoff International Holdings is an international retail holding which deals mainly in furniture and household goods. As a result of the transaction, Steinhoff International Holdings withdrew from the European furniture production business and sold its companies in Europe (Steinpol Central Services sp. z o.o. in Poland, Prolog Vertriebs GmbH in Germany, and Quattro Mobili Kft and Kanizsa Trend Kft in Hungary) to the Cotta Group.

SSW managed all legal and tax issues connected with the Polish aspects of the transaction. This involved everything from conducting due diligence to preparing and negotiating transactional documentation and coordinating transaction-related work with law firms in other jurisdictions.

The SSW team cooperated on the transaction with Vischer law firm (Switzerland), CMS (Germany) and Kinstellar (Hungary).
