The ‘proactive’ team at SSW Pragmatic Solutions is jointly led by Wojciech Szczepaniak and Szymon Okoń, who provides ‘considered, commercial and astute’ advice. Highlights included assisting Polenergia and its two subsidiaries with the restructuring of loans granted for financing wind farms.

SSW Pragmatic Solutions is noted for its debt capital markets services, which includes advising clients on both the legal and accountancy aspects of prospectuses. It also has an active equity capital markets practice. Department co-head Szymon Okoń advised Games Operators on a pre-IPO restructuring and the IPO process relating to its listing on the WSE. Wojciech Szczepaniak, who also leads the team, assisted foreign funds within UBS Group with the sale of units in Poland, a matter that also required tax advice and negotiation with the Polish Financial Supervision Authority.

SSW Pragmatic Solutions’ team stands out for its ability to provide ‘business-oriented and focused advice’ and for providing ‘quality’ client support. The group consists of legal and tax advisers and is often instructed on restructuring and M&A mandates. Team leader Wojciech Szczepaniak advises a mixture of Polish and foreign institutional investors, banks and venture capital funds on all areas of corporate law. Highlights for Michał Badowski included assisting Aerium Group and Bainbridge with a complex restructuring and subsequent sale of a number of companies to the Newbridge fund. Paweł Chyb is another key name.

SSW Pragmatic Solutions’ Janusz Mazurek defends a number of Polish franchisees of Subway International in arbitration proceedings in New York brought by the franchiser following alleged violations of franchise agreements. Counsel Łukasz Cudny specialises in corporate and capital markets disputes.

SSW Pragmatic Solutions advises clients in the energy, as well as mining and geological sectors. Piotr Spaczyński and Dominik Strzałkowski advise ExxonMobil on its downstream activity in Poland. Procurement expert Michał Bagłaj joined the team from Maruta Wachta sp. j. in November 2017.
