CI Games S.A. finalised a secondary public offer, with SSW acting as the company’s legal advisor in the process

H series shares issued by CI Games S.A. were entered onto the register of entrepreneurs, which concludes the company’s SPO process. The SPO was one of the first in Poland to take advantage of the newly introduced increase in the threshold for public offers without prospectus. An innovative price-setting mechanism was employed where the WSE’s IT systems were used to determine the issue price and the number of shares in a two-tranche share issue with a partial pre-emptive subscription rights reserved for significant shareholders.

CI Games S.A., which is  listed on the Warsaw Stock Exchange, is a publisher, developer and distributor of video games on the global market. Since 2002, the Company and its group have released over 100 titles and own recognizable brands, such as Sniper Ghost Warrior and Lords of the Fallen. The funds raised by the SPO will be used to expand the internal development team, support marketing activities and expand its portfolio of games.

SSW’s lawyers from the Capital Markets team comprehensively advised CI Games S.A. on the SPO process, including the drafting of the information memorandum and notifying the PFSA of promotional actions.
